Company Overview
Charter Consolidated P.L.C. is a UK-based holding company with industrial, mining and finance interests. The company has its registered office in London, United Kingdom. It was created by the merging of three mining, finance and investment companies in 1964.
The company is organized in four divisions: Finance, Mining, Administration, and Industrial. The first three divisions, which form the company’s central business, includes finance, portfolio investment, money and currency management, metal sales, prospecting and administrative services provided for independent clients. The Industrial division comprises the operating subsidiaries.
The company owns (through a number of intermediate companies) two international engineering businesses: one focused on welding, cutting and automation (ESAB), and the other on air and gas handling (Howden). ESAB is a world-leading manufacturer and supplier of welding consumables and equipment, and cutting and automation solutions. Its broad range of welding consumables include electrodes, cored wires, solid wires and fluxes for submerged arc welding. These consumables cover welding processes for a variety of materials from mild steels to advanced alloys. All of ESAB’s automated installations are manufactured at Laxе in Sweden, whereas cutting machines are manufactured at Karben in Germany, Florence in the U.S. and at the cutting factory in Shanghai, China.
Howden is an international applications engineer with a world-leading position in the design, supply and servicing of air and gas handling equipment. Its core products include centrifugal and axial fans, air and gas rotary pre-heaters and compressors. It also manufactures and supplies turbo-blowers. Its core market is the power generation industry, where fans and heaters are integral parts of the coal-fired boiler and emission control systems including the processes for flue gas desulphurisation and denitrification. Howden also supplies a wide range of other industries including oil and gas, petrochemical, iron and steel, mining, cement, nuclear, pulp and paper, and transport.
The company is the primary source of external funds for its wholly-owned industrial subsidiaries. Its policy is to provide them with a financial structure which is appropriate to finance the business while stimulating management to achieve effective management of assets. The company provides funds to the companies in the combination of equity capital and loans. Where Charter loans to the companies would mean a higher level of debt gearing, the company provides the excess proportion in the form of equity capital.
