Gardner Denver’s history goes back to its origin in 1859 when Robert Gardner founded the Gardner Governor Company to provide the first effective speed controls for steam engines. During that year, the Gardner Governor Company manufactured flyball governors which in time led to the production of steam pumps and high speed vertical air compressors. By the turn of the century, the steam pump technology was adapted for use in mud pumps, which became part of the oil and natural gas well drilling process. In 1927, the Gardner Governor Company merged with the Denver Rock Drill Company and became Gardner-Denver. In 1959, during the post-war growth period, Gardner-Denver made a number of acquisitions, including the CycloBlower Company, a manufacturer of helical screw blowers. Gardner-Denver continued to grow and was acquired by Cooper Industries (Cooper) in 1979. As Cooper’s strategies changed, the Gardner Denver Industrial Machinery Division was spun off in 1994 as Gardner Denver Inc., an independent company. As a result, Gardner Denver Inc. becomes publicly held and its common stock trades on the New York Stock Exchange under the ticker symbol GDI.
Gardner Denver’s products and engineered solutions are sold through multi-channel, worldwide distribution systems and are used for applications in virtually every market sector, ranging from industrial movement, to environmental processes, to healthcare applications and energy production. Its strategy focuses on growth through acquisition, increased market share, product development, cost reductions and penetration of niche markets that are expanding faster than the global economy.
Gardner Denver’s operations are organized into two reportable segments — Compressor and Vacuum Products and Fluid Transfer Products.
In the Compressor and Vacuum Products segment, Gardner Denver designs, manufactures, markets and services the following products for industrial and commercial applications: rotary screw, reciprocating, sliding vane and centrifugal compressors; positive displacement, centrifugal and side channel blowers; and liquid ring pumps and engineered systems. With the July 2005 acquisition of Thomas Industries Inc. (a designer, manufacturer and marketer of pumps and compressors), the product range now also includes single-piece piston reciprocating, diaphragm, and linear compressor and vacuum pumps primarily serving original equipment manufacturer (OEM) applications.
In the Fluid Transfer Products segment, Gardner Denver designs, produces, sells and services a diverse group of pumps, water jetting systems and related aftermarket parts used in oil and natural gas well drilling, servicing and production and in industrial cleaning and maintenance. In addition, this segment’s products include loading arms, swivel joints, couplers, valves, fall protection and access equipment used to load and unload ships, tank trucks and rail cars.

Industrial Products Group

In the Industrial Products Group, the Company designs, manufactures, markets and services the products and related aftermarket parts for industrial and commercial applications: rotary screw, reciprocating, and sliding vane air compressors; and positive displacement, centrifugal and side channel blowers; primarily serving general industrial and OEM applications. This segment also designs, manufactures, markets and services ancillary products. Stationary air compressors are used in manufacturing, process applications and materials handling, and to power air tools and equipment. Blowers are used primarily in pneumatic conveying, wastewater aeration, numerous applications in industrial manufacturing and engineered vacuum systems. The markets served are primarily in Europe, the United States and Asia. The Industrial Products Group constituted 58% of total revenues for the year ended December 31, 2009.

Engineered Products Group

In the Engineered Products Group, the Company designs, manufactures, markets and services a diverse group of products for industrial, commercial and OEM applications, engineered systems and general industry. Products include pumps, liquid ring pumps, single-piece piston reciprocating, diaphragm vacuum pumps, water jetting systems and related aftermarket parts used in oil and natural gas well drilling, servicing and production and in industrial cleaning and maintenance. Liquid ring pumps are used in many different applications, such as water removal, distilling, reacting, flare gas recovery, efficiency improvement, lifting and handling, and filtering, principally in the pulp and paper, industrial manufacturing, petrochemical and power industries. This segment also designs, manufactures, markets and services other fluid transfer components and equipment for the chemical, petroleum and food industries. The markets served are primarily in the United States, Europe, Canada and Asia. The Engineered Products Group constituted 42% of total revenues for the year ended December 31, 2009.
