Description and history
The Company (MTC) was formed to take over the business of Malayan Tobacco Distributors Ltd (MTDL), a subsidiary of British-American Tobacco Co Ltd. MTDL had been established in the 1920s to manufacture cigarettes in Malaya. On 1.7.78 MTC underwent a scheme of arrangement whereby its undertaking in Singapore was transferred to a separate public company called British Tobacco Company (Singapore) Ltd.

Subsequently, the Company effected an internal reorganisation scheme in January 1989, whereby its marketing operations were transferred to a subsidiary.

On 2.11.99, the Company disposed of its entire operating business and the entire issued and paid-up share capital of this subsidiary to British American Tobacco (Malaysia) Bhd (formerly known as Rothmans of Pall Mall (Malaysia) Bhd). Subsequent to the disposal, the Company ceased the business of manufacture, importation and sale of cigarettes and other tobacco products and ceased to have any subsidiaries.

On 24.4.01, the Company announced that it has accepted an offer from MEASAT Global Network Systems Sdn Bhd (MGNS) to inject Binariang Satellite Systems Sdn Bhd (Binariang Satellite) into the Company. MGNS is the holding company of Binariang Satellite.

As part of the terms of the offer: (a) MGNS would acquire Chelwood Trading & Investment Company Ltd’s entire equity interest of 54.7% in MTC for an indicative cash consideration of approx. RM434.6m or RM3.92 per share. (b) Concurrently, MTC would acquire Binariang Satellite from MGNS for an indicative purchase consideration of RM1.248b to be satisfied by way of RM574m in cash and 179.99m new shares.

Binariang Satellite is Malaysia’s sole regional satellite system operator. Its acquisition positions the MTC Group to take advantage of opportunities in the telecommunications, multimedia and technology industries in the future.

Following completion of the disposal of Chelwood’s 54.7% interest in MTC and the acquisition of 100% in Binariang satellite on 8.5.02, MGNS served a notice of unconditional take-over offer to other shareholders of MTC for the remaining approx. 23.53% of its existing issued and paid-up capital, at a cash offer price of RM3.905 each. At the close of the offer on 17.7.02, the total shareholdings of MGNS in MTC amounted to 365,611,325 shares (93.8%).

The company changed its name from Malaysian Tobacco Company Berhad to Measat Global Berhad. on 1.8.03.

Since 1996, MEASAT has provided reliable satellite solutions to customers across the Asia-Pacific region. With rights to 16 orbital slots around the world, MEASAT today owns and operates two satellites, MEASAT-1 (91.5E) and MEASAT-2 (148E), providing high quality C-band coverage across South East Asia, into Greater China, South Asia, Australia and the United States. With satellites designed to cut through the high tropical rainfall, these satellites also provide DTH quality Ku-band coverage into Malaysia, IndoChina, Taiwan, Indonesia, the Philippines and Australia.

The MEASAT network supports many of the region’s leading broadcasters, DTH operators and telecommunications companies. MEASAT supports the Astro DTH service in Malaysia, providing DTH multi-channel television services to over 1.5 million subscribers, as well as DTH services in Australia, Vietnam and the Philippines. MEASAT is also used by many of the region’s leading terrestrial broadcasters to distribute television programming to cable head-ends, and by telecommunications operators to support remote connectivity, GSM and corporate VSAT networks.

To meet growing customer needs, and provide critical in-orbit redundancy at the 91.5E orbital location, in 2003 MEASAT contracted Boeing to build and deliver its third satellite, MEASAT-3. Scheduled to be launched by Q3/Q4 2005, MEASAT-3 will provide 24 C-band transponders providing coverage across a region bounded by Africa and Eastern Europe in the West, through to Japan and Australia in the East. Strategically located in the center of the region, and designed with a single high powered C-band beam able to reach over 100 countries, representing more than two thirds of the world’s population, MEASAT-3 has been designed as one of the region’s most powerful video distribution platforms. With 24 Ku-band transponders, and high powered spot beams focused on Malaysia, Indonesia and South Asia, MEASAT-3 has also been designed to provide distinctive satellite coverage for DTH and VSAT services.

In November 2004, MEASAT has opened a new satellite teleport in CyberJaya, Malaysia. With connectivity to the MEASAT satellite network, and fully redundant fibre to local, regional and global POPs, the MEASAT Teleport and Broadcast Centre will further enhance the capabilities of the MEASAT satellite network. Working with MEASAT’s existing Teleport partners – ST Teleport (Singapore) and Hawaii Pacific (USA) – MEASAT Teleport and Broadcast Centre will provide a full range of value added services to our customer base in the Broadcasting, Telecommunications and IP industries.

With highly reliable satellite services, and a focus on superior customer support, MEASAT has grown into one of the region’s leading satellite service providers. The launch of MEASAT-3, and completion of the MEASAT Teleport and Broadcast Centre, will enable MEASAT to move to the next level, providing truly distinctive satellite solutions to over 70% of the world’s population.

Delisted from Bursa Malaysia Securities on 29 September 2010.
