MyTravel Group Plc, located in Rochdale, is a multi-national travel group. The group was established in the UK in 1973 when the Group’s founder, David Crossland, purchased Pendle Travel Services, a travel agency business comprising of two stores in Lancashire. MyTravel offers travel package deals such as sun getaway, winter holiday deals, cruises, hotel deals, flight deals and late holiday deals. In the UK, MyTravel owns some of the most popular household names for charter package holidays such as Airtours Holidays, Panorama and Direct Holidays. The group has in-house airlines called MyTravel Airways UK and A/S that operate in both the UK and Northern Europe. MyTravel has links with international airlines in Ireland, Northern Europe and North America as well as with 81 hotels worldwide. MyTravel is a member of the following organizations: The Association of British Travel Agents, Air Travel Organisers’ Licensing, British Air Transport Association, Civil Aviation Authority, Federation of Tour Operators, International Air Carrier Association, The Travel Foundation, and The Foreign and Commonwealth Office. MyTravel has strategic alliances with the companies such as Deutsche Bank AG, Legal and General, JP Morgan Chase & Co., Goldman Sachs Group, Inc, Merrill Lynch & Co. Inc, and Barclays PLC.

Description and history
The company changed its name to MYTRAVEL GROUP PLC on 8 February 2002. The company is a fully integrated Group of Companies operating within the leisure travel industry. The Group consist of the United Kingdom’s second largest chain of retail travel agents, the second largest tour operating business and substantial charter airline dedicated to servicing the requirements of the in-house tour operator.

The Company was incorporated on 3 December 1962. The company shares listed on the London Stock Exchange on 31 March 1987.

A second travel agency business was acquired shortly after from Albert and Ivy Roberts who had registered it using their initials, A.I.R. Tours. The Airtours name was born.

The business expanded and from the early 1980’s, the Group developed package holidays and became one of the most popular holiday companies in the UK. We continue to offer exceptional value for money packages, encouraging people to holiday abroad – often for the first time.

Following a total financial restructure in December 2004, MyTravel Group looks forward to a healthy future, by looking at new ways to distribute and sell holidays to its customers. On 12 February 2007, the boards of MyTravel and KarstadtQuelle announced the proposed merger of MyTravel and Thomas Cook to create a leading international leisure travel group. The Merger will be effected by Thomas Cook Group plc, a newly-incorporated company, acquiring each of MyTravel and Thomas Cook. Thomas Cook was previously jointly owned by Lufthansa and KarstadtQuelle. Lufthansa’s 50 per cent. interest in Thomas Cook was acquired by KarstadtQuelle on 2 April 2007.

The Merger will be effected by means of the acquisition by TCG of each of MyTravel and Thomas Cook, as a result of which TCG will become the holding company of the Enlarged Group.

The acquisition of ownership of MyTravel will be effected by means of the Scheme. MyTravel Shares will be cancelled pursuant to the Scheme and, in consideration, MyTravel Shareholders will receive:

The Board of MyTravel Group plc announced that at the Court Meeting, Extraordinary General Meeting and Annual General Meeting held on 29 May 2007 all the resolutions contained in the relevant notices of meeting were passed by the requisite majorities.

Accordingly, the merger of the Company and Thomas Cook AG to form Thomas Cook Group plc has now been approved by MyTravel shareholders. Subject to the Court sanctioning the Scheme, and confirming the associated reduction of capital, and the satisfaction or waiver of certain other outstanding conditions, completion of the merger and the listing of the Thomas Cook Group plc shares are expected
to occur on 19 June 2007.

The High Court on 18 June 2007 made an order sanctioning the scheme of arrangement between the Company and the holders of the Scheme Shares and confirming the reduction of capital relating to the Scheme.

The merger between the Company and Thomas Cook AG was completed on 19 June 2007. Dealings in the ordinary shares of Thomas Cook Group plc, the holding company of the combined group, commenced on 19 June 2007.


Cancellation of listing of MyTravel Shares took effect on 19 June 2007.
