The company’s Ringdale subsidiary produces goods ranging from PCs and printers to smart card readers and fax machines. Network Technology’s Nextus unit provides contract manufacturing services including circuit board printing, general machining, laser marking, and sheet metal work. Company became a listed company on the London AIM Market in 1996 and subsequently fully listed on The London Stock Exchange in 1997. Company is a fast-growing technology and manufacturing group of companies.

The Company’s strategy is to create technology premium in computer networking and Internet technology. The technology is predominantly sold in form of products through its Ringdaler brand to various channels. Some of the Company’s technology is also sold through other OEM channels.

In the last three years the Company also engaged in Custom Switch Mode Power Supplies for rugged applications as well as Security and Access Control devices connected to computer networks as well as Software managing security within organizations and their networks.

Its expertise lies with network communication, printer controller and mechanical technology applied to printing systems, scanners, Digital Storage Systems for Data Warehousing, Area Access Control, Perimiter Security and other peripheral devices which can be connected to a Local Area Network (LAN).

HISTORY

The Company was incorporated on 11 May 1995 and its shares are listed on London Stock Exchange on 28 Ausguts 1997.

Delisted
The rationale behind the De-Listing Resolution is that for the last few years the Company has struggled to find investment for its new technologies. Market conditions and the particular challenges of being a very small cap technology based company have contributed to this. The Directors have been the sole investors in new equity in the Company over the last few years, which alone has enabled the Company to keep afloat and allowed it to re-shape itself.

The current share price values the Company at around only one-eighth of its annual sales. The Company cannot afford to appoint a broker or financial advisor without new investment in the Company or it becoming significantly more cash productive. This is unlikely to happen in the near future whilst the Company continues to invest in new technologies and manufacturing capacity.

The Board of the Company hopes that Shareholders would be happy to continue to support the Company whether it is listed or not. The Board of the Company recommends that Shareholders vote FOR the De-Listing Resolution.

Shareholders approved the special resolution proposing that the listing of Ordinary Shares of Ј200 each in the capital of the Company on the Official List of the UK Listing Authority and the admission to trading of its shares on the London Stock Exchange’s main market be cancelled and any Director or the Secretary be and are hereby authorised to take all such steps which are necessary or desirable in order to effect such cancellation.

The Company shares delisted on LSE with effective from 29 October 2010.
