Unibet Group PLC is engaged in the operation of online gambling business in the European market. It is registered as a publicly quoted company, with shares listed on Stockholm Stock Exchange. The company was formed and incorporated in 1997. The registered business office of the company is located in Valletta, Malta.

The global gambling market can be divided into online gambling and off-line gambling. Description and history
The Company is an online gambling business, with over 4.1million registered customers worldwide as at 31 December 2009.
It offers a comprehensive range of on-line gambling products, such as sports betting, live betting, soft games, on-line casino, and poker products through the Group’s web site (www.unibet.com).
The Company focuses on the Nordic region (which accounts for around 75 per cent. of the customer base) and few European markets, which are dominated by De Facto monopolies.
The Company is a member of European Betting Association.
The Company was originally granted a Gaming Licence to Operate a Betting Office in Malta, issued on the 17 April 2000, by the Ministry of Finance in Malta.
The Group further holds through one of its subsidiaries a Bookmakers Permit, issued on the 23 April 1998, by the Licensing Committee of North Westminster in London in the UK.
The Company was initially incorporated on 3 August 2000 in United Kingdom. Following a reorganisation effective from 1 November 2006, the Company is incorporated in Malta. Its Swedish Depositary Receipts (SDRs) were listed on the O-list of the Stockholm Stock Exchange (Stockholmsbцrsen) on 8 June 2004.
The first Unibet company was formed.
The Company was granted a licence in the UK to run a betting operation. Unibet established an office in London and commenced trading as a betting operator taking bets over the telephone.
An internet web site in Swedish and English was launched.
Unibet International was granted a licence and established an office in Malta.
The second version of The Company’s web site was launched and was translated into 12 languages. Customers in more than 50 countries.

On 15 February, the Company’s entire 23 per cent shareholding in B2B Poker (Sweden) AB was sold to 24HPoker AB.
On 26 July, the Company decided to streamline its poker technology platforms. With effect from September 2006, their poker offering was consolidated on a joint technical platform to strengthen the poker offering.
On 8 August, the Company launched multiplayer Bingo for the Swedish market.
On 18 September, the Company announced a new holding company structure with a new holding company established in Malta, where the principal trading activities of the Unibet Group are based.
Following a reorganisation effective from 1 November 2006, the Company is incorporated in Malta, which is also where the majority of the Group’s online gambling services are conducted. Up to 1 November 2006 the ultimate parent undertaking of the Unibet Group was UGP Limited (previously Unibet Group plc) and from 1 November 2006 it is Unibet Group plc.
As part of a group reorganisation during 2006, ordinary shares in the Company were issued to registered shareholders of UGP Limited (formerly Unibet Group plc), the previous parent company of the Unibet Group, on the basis of a one-for-one share exchange. There was no change in the beneficial ownership of the Unibet Group as a result of this transaction, nor was any new money raised by the Company in this transaction. All rights over shares, including rights of the holders of Swedish Depositary Receipts or of share options, in UGP Limited were exchanged in this transaction for equivalent rights over shares in the Company.
In year 2007, the Companiy acquired Maria Holdings, to further strengthen the position in Bingo and the Nordic markets.
