Avenir Telecom SA, with registered office in Marseille, France, is a publicly quoted company engaged in the distribution and sale of a wide variety of communication products, especially, mobile phones, activation of service, accessories, answering and fax machines. The company developed its own range of accessories under the TOP SUXESS brand name in 1995. It was founded in 1989 by Jean Daniel Beurnier.
The company distributes telephones, subscriptions and accessories directly through its own network of 415 outlets under the Internity name (direct distribution) and via hypermarkets and independent stockist (indirect distribution). It acts as a business provider for mobile, fixed and internet operators and publishers of services, marketing their offerings through its extensive distribution networks.
Avenir Telecom is a European leader in the distribution of mobile telecoms products and services. It is active in France, Belgium, UK, Spain, Portugal, Poland, Romania, Bulgaria, and Morocco. The company’s strategy is to accelerate in the development of its distribution networks in Europe.

The Company is a global distributor of telecommunication goods and services. The company does this mainly through the distribution and sale of a wide variety of communication products, especially mobile phones, activation of service, accessories, answering and fax machines.

BACKGROUND

**Mobile Phone Distribution business – development in France:
The Company was established in Marseille, France in 1989. The Company initially sold analog mobile phones on a regional basis, before extending its operations throughout France. It signed its first agreement with the operator SFR in 1989, and this agreement was extended in 1992 to incorporate the new GSM2 standard, enabling The Company to enter into the emerging mobile phone market. In 1994, The Company extended its agreements to Itineris. This year marked the beginning of The Company’s explosive growth.

In 1995, The Company developed its own range of accessories under the TOP SUXESS* brand name. In the same year, CETELEC was established as a subsidiary specialising in after sales service. In 1998, The Company extended its services offer with the creation of the logistics management platform company LOGISTIS and the Internet communications and information company, NET-UP.

**Mobile Phone Distribution business – direct distribution development:
At the beginning of 1997, The Company undertook the expansion of its distribution channels with its establishment of the PHONE SHOP chain of stores to serve the mass-market, followed in October with the opening of the ENTREPRISE & MOBILES chain of stores to serve businesses and professionals.

In 1998, The Company brought together different independent retailers under the MOBILE HUT chain of stores and integrated its wholesale distributors located in Lyon and Paris. In 1999, The Company purchased the INTERDISCOUNT chain, which at that time was the subject of bankruptcy
hearings, to develop a new concept of stores, INTERNITY, dedicated to the world of the Internet and digital. In 2000, The Company sold its 160-stores chain PHONE SHOP to the Cegetel Group (SFR network operator).

**Mobile Phone Distribution business – international development
The Export Division was established in 1997. From 1998, the development of the Group?s international operations became a top priority. The Company sought to profit from the development of the mobile phone market through the reproduction of key elements of its business model. The Group decided to target simultaneously the major European markets as well as emerging economies? markets. The Group developed itself progressively through the establishment and acquisition of subsidiaries:
- in 1998, it established subsidiaries in Spain and Poland,
- in 1999, it established a subsidiary in Hong Kong and acquired subsidiaries in Belgium, the Netherlands and Romania,
- in 2000, it acquired subsidiaries in Morocco, the United Kingdom and Poland,
- in 2001, it acquired a subsidiary in the Czech Republic.

On 30 June 2001, The Company realised 45% of its sales outside of France, in 9 countries. The Group has progressively developed the different segments of its business, deploying a network of some 400 Company-owned points of sale, after-sales-service platforms in 6 countries, and a commercial presence through its 10,000 plus points of sale.The Company is one of the leading European distributors of telephone products and services (mobile phones, operator subscription services, accessories, etc.). **Internet business – development
In November 1999, the NET-UP Company was launched on the Internet market as an Internet Service Provider. It offered a fixed rate package (access and access time), as well as a very innovative product, the e-package that provides a personal computer as well as access and access time. NET-UP acquired and developed some ten contentproducing companies (portals) in order to provide its subscribers with a quality service and generate supplementary income through e-commerce opportunities.
The Company was listed in EURONEXT PARIS Compartment C on November 20,1998.

HISTOIRE
1989 Creation de La Sociйtй а Marseille, qui est alors un distributeur regional agree de telephones portables analogiques et d’ouverture de lignes Radiocom 2000 et SFR Analogique.
1992 Accord national avec SFR. La Sociйtй devient un des distributeurs de telephones mobiles sous la nouvelle norme GSM.
1994 C’est l’annee de la veritable explosion commerciale du groupe marseillais.
1995 Creation de Cetelec, premiere plate-forme de service apres vente pour telephones mobiles de France.
1996 Deploiement du reseau de boutiques Phone Shop, basees sur un nouveau concept de vente tres specialisee, dans de petites superficies. Le reseau francais Phone Shop, ne convenant plus a l’evolution de la strategie d’La Sociйtй, a ete cede a Cegetel en Octobre 2000.
1997 Creation d’Entreprise et Mobiles, filiale dediee au B to B.
1998 Creation de Mobile Hut, federation de revendeurs independants et centrale d’achats. Creation de Logistis, plate-forme logistique specialisee de La Sociйtй. Lancement de la gamme d’accessoires pour telephones mobiles TOP SUXESS, tres rapidement leader en France avec plus de 25% de parts de marche. Introduction sur le Nouveau Marche de la Bourse de Paris en novembre.
1999 Apres un debut en 1998 par une implantation en Espagne, le developpement international de La Sociйtй s’accelere en Belgique, Pays Bas, Pologne, Roumanie et Hong Kong. Lancement des formules e-pack NET UP en partenariat avec IBM.
Acquisition du reseau de magasins Interdiscount en France, pour y developper un nouveau concept dedie a Internet baptise INTERNITY.
Fin novembre 1999, La Sociйtй a dйmarrй une activitй dans le domaine de l’Internet а la fois comme distributeur et fournisseur d’accиs Internet,
principalement а travers son offre e-pack Net-Up, et comme prestataire de services complйmentaires.
2000 Poursuite du deploiement a l’international avec les implantations au Maroc et au Royaume-Uni. Elargissement de la gamme d’offres e-pack : professionnels, e-pack TV. Creation de PCetelec, plate-forme de service apres-vente multimedia.
2001 Crise des marches financiers et de l’industrie des telecom. La Sociйtй lance un vaste plan de restructuration de ses activites dans la distribution et annonce l’arret progressif des activites Internet, programme jusqu’en 2004. Une provision de 80,5 millions d’euros est constituee afin de faire face aux engagements relatifs a cette decision.
2002 L’annee est marquee par des restructurations dans tous les pays. De nombreux concurrents
disparaissent. Arret des activites commerciales a Hongkong qui demeure la plate-forme de sourcing du Groupe.
2003 La Sociйtй, qui a divise son chiffre d’affaires par deux et ses effectifs par trois en trois ans, renoue avec la rentabilite operationnelle, avant elements non recurrents.
Le reseau Internity se developpe avec l’acquisition de 11 magasins en Pologne, 1 nouveau magasin en Roumanie et un plan important d’ouvertures en Espagne.
2004 La Sociйtй acclere le developpement du reseau Internity avec l’ouverture de 73 nouveaux magasins en Europe sur l’exercice. Le Groupe acheve son recentrage en se desengageant totalement de ses activites de SAV. Dans un marche dynamise par le veritable demarrage commercial du multimedia mobile.
La Sociйtй renoue avec la croissance et les profits et annonce de nouvelles perspectives de developpement.
La Sociйtй est introduite le 20 nouvembre 1998 en EURONEXT PARIS – Euronext – Valeurs locales Compartiment C.
